Tutor Supply & Coordination Agreement

This agreement is between Pomegranate Institute and Filipino Institute, represented by Gabriel John Rimando, for the supply and coordination of tutors/trainers under the terms below.

This Agreement is made and entered into by and between Pomegranate Institute (hereinafter referred to as the “Institute”) and Filipino Institute, represented by Gabriel John Rimando (hereinafter referred to as the “Coordinator”).

1. Purpose of Agreement

This Agreement sets out the arrangement for the supply, coordination, and support of tutors/trainers to assist the academic and training needs of the Institute.

The Coordinator shall source and coordinate suitable tutors/trainers based on the requirements of the Institute.

2. Tutor / Trainer Profile

The Coordinator may provide tutors/trainers including, but not limited to:

  • Arabic-speaking tutors
  • Tutors familiar with the British curriculum
  • Subject-specific tutors including English, Math, Science, and other required subjects
  • Other qualified tutors/trainers depending on the Institute’s needs

Tutor assignments shall be based on availability, qualifications, and suitability.

3. Payment Structure

Tutor / Trainer

28 AED / hour
Payable directly by Pomegranate Institute for each approved teaching hour.

Filipino Institute

7 AED / hour
Payable separately as the coordination, supply, and placement fee for each approved teaching hour.

Total hourly rate: 35 AED per hour per tutor/trainer.

4. Payment Method

The Institute agrees that:

  • The tutor/trainer shall be paid directly at the agreed rate of 28 AED per approved teaching hour.
  • The Coordinator (Filipino Institute) shall be paid separately at the agreed rate of 7 AED per approved teaching hour as a coordination, supply, and placement fee.
  • Both payments shall be settled on the same weekly payment cycle and based on the same approved teaching hours.
  • Payment to the Coordinator shall not be conditional and shall follow automatically from the approved teaching hours rendered by the tutor/trainer.

5. Approval of Hours

Only actual teaching hours completed and approved by the Institute shall be billable.

Any duties or responsibilities outside of approved teaching hours must be separately discussed and agreed in writing.

6. Role of the Coordinator

  • Sourcing suitable tutors/trainers
  • Recommending and coordinating tutor assignments
  • Coordinating tutor availability and scheduling support where needed
  • Providing replacement support, subject to availability
  • Assisting in maintaining continuity of tutor support

7. Tutor / Trainer Responsibilities

  • Arrive on time and conduct sessions professionally
  • Deliver lessons as scheduled
  • Maintain proper communication and conduct
  • Carry out teaching responsibilities to the best of their ability

8. Replacement of Tutors

If a tutor/trainer becomes unavailable, the Coordinator shall make reasonable efforts to provide a replacement, subject to availability and suitability.

Immediate replacement is not guaranteed but shall be handled in good faith.

9. Non-Circumvention / Fair Protection

The Institute acknowledges that tutors/trainers introduced through the Coordinator form part of this working arrangement.

The Institute agrees not to directly hire, contract, or independently engage any tutor/trainer introduced or supplied by the Coordinator during the active term of this Agreement, without prior coordination and written agreement between both parties.

If the Institute wishes to directly engage any such tutor/trainer in the future, both parties agree to first discuss and settle a fair written transition or placement arrangement.

10. Communication & Coordination

All matters relating to tutor assignments, scheduling, replacements, rate adjustments, and engagement concerns shall be coordinated through Filipino Institute unless otherwise agreed in writing.

11. Payment Terms

Payments for both tutors/trainers and the Coordinator shall be settled on a weekly basis based on approved completed teaching hours.

In the event of delayed payment, both parties agree to communicate in good faith and resolve the matter promptly.

If payments remain unsettled beyond a reasonable period, tutor assignments may be temporarily paused until balances are cleared.

12. Scope of Services

This Agreement covers tutor/trainer supply and coordination only.

Any additional services including but not limited to administration, curriculum design, parent communication, academic management, center operations support, reports, or extra non-teaching duties shall require separate discussion and agreement.

13. Professional Standards

Both parties agree to maintain professionalism, clear communication, mutual respect, fair dealing, and a positive working relationship.

Tutors/trainers are also expected to uphold proper professional standards while assigned to the Institute.

14. Independent Relationship

This Agreement does not create an employment relationship between the Institute and the Coordinator, nor a partnership, joint venture, or agency relationship between both parties.

This is strictly a service-based tutor supply and coordination arrangement.

15. Confidentiality

Both parties agree to keep internal tutor assignments, payment structures, rates, coordination details, and operational arrangements confidential, unless disclosure is required by law or mutually agreed in writing.

16. Term & Termination

This Agreement shall commence on April 3, 2026 and shall continue unless terminated by either party.

Either party may terminate this Agreement by giving 7 days written notice.

Both parties agree to make reasonable efforts to ensure any active tutor assignments are handled properly during the transition period.

17. Good Faith Clause

Both parties agree to carry out this arrangement in good faith, with the intention of maintaining fairness, professionalism, respect for tutors/trainers, smooth coordination, and a constructive working relationship.

18. Confirmation of Agreement

By signing this Agreement, each party confirms that it has read, understood, and agreed to the terms and conditions stated herein.

The undersigned representative of Pomegranate Institute confirms that he or she is duly authorized to sign on behalf of the Institute. Filipino Institute is represented herein by Gabriel John Rimando.

20. Execution and Copy of Agreement

This Agreement may be completed and signed electronically for documentation and record purposes. Once signed, the completed copy may be saved as PDF and shared through the agreed communication channel.
